Terms of Use
These Terms of Use govern your access to and use of ActionPlane, a governed action plane for enterprise agents, offered by Zencraft Consultancy Pvt Ltd. By using ActionPlane, you agree to these terms.
1. Service scope
ActionPlane provides operator-facing controls for governed agent actions, including approvals, audit trails, idempotent ingress, execution workflows, review threads, and related administrative surfaces.
ActionPlane may interoperate with cloud providers, model providers, APIs, internal enterprise systems, and other third-party services that you configure or authorize. Those systems remain subject to their own terms, policies, and operational limits.
2. Accounts and tenant administration
You are responsible for the security and lawful administration of your workspace, including tenant configuration and operator access.
- You must provide accurate account, billing, and administrator information.
- You must maintain the confidentiality of credentials, tokens, secrets, and linked cloud identities.
- You are responsible for actions taken by your users, service accounts, and automated workflows inside your tenant.
- You must promptly remove access for users who no longer require it.
3. Connected systems and customer instructions
You represent that you have the right to connect the systems, APIs, databases, and credentials you use with ActionPlane, and that the instructions, prompts, schemas, and payloads you submit are lawful and authorized.
- You are responsible for selecting approval thresholds, simulation requirements, rollback controls, and execution policies that fit your risk profile.
- You remain responsible for downstream changes made in connected systems when those changes are initiated from your organization.
- You must not use ActionPlane to bypass approvals, segregation-of-duties rules, or internal controls that apply to your environment.
4. Acceptable use
Your use of ActionPlane must comply with our Acceptable Use Policy, applicable law, and the contractual or regulatory obligations that apply to the systems you connect.
- No unlawful access, credential abuse, phishing, fraud, malware, or harmful automation.
- No attempts to escape tenant boundaries, tamper with audit trails, or disable platform safeguards.
- No use of ActionPlane in ways that violate privacy, confidentiality, export-control, sanctions, or intellectual-property obligations.
5. Automation, AI, and approvals
ActionPlane is designed to reduce operational risk, not eliminate it. AI-generated plans, action proposals, policy evaluations, diffs, or review suggestions may be incomplete, incorrect, or unsafe.
- You are responsible for reviewing and approving actions before they affect production systems where appropriate.
- Approval gates, simulations, and rollback mechanisms are operational controls, not guarantees against loss or misuse.
- ActionPlane does not provide legal, tax, accounting, or compliance advice.
6. Billing, subscriptions, and cancellation
Paid access to ActionPlane may be sold directly or through a marketplace, reseller, or enterprise order form. Pricing, metering, and invoicing may vary by purchase channel.
- Subscriptions renew or end according to the commercial terms you purchased under.
- Cancellation typically stops future billing but does not retroactively undo prior charges or usage-based consumption.
- Refunds are limited and are governed by our Refund & Cancellation Policy.
7. Data and intellectual property
As between you and Zencraft Consultancy Pvt Ltd, you retain rights in your customer data, prompts, policies, approval notes, schemas, and outputs that you provide to or generate through ActionPlane, subject to applicable third-party rights.
Zencraft retains all rights in ActionPlane itself, including the software, service design, visual assets, documentation, and platform improvements not specific to your confidential data.
- Workspace data is private to your tenant by default unless you intentionally share, export, or connect it onward.
- You grant us the limited rights needed to host, process, secure, and support the service.
- You must not reverse engineer, resell, or misuse the service except as permitted by law or contract.
8. Security, suspension, and termination
We may suspend or restrict access to ActionPlane to investigate abuse, respond to security risks, comply with law, prevent harm, or protect the integrity of the platform or third parties.
- You must follow reasonable security instructions, including identity, logging, and incident-reporting expectations.
- We may disable integrations, tokens, or workflows that present material risk.
- Upon termination, data access and retention will be handled according to your contract, our privacy commitments, and legal obligations.
9. Disclaimers and limitation of liability
ActionPlane is provided on an "as is" and "as available" basis except to the extent a signed agreement states otherwise. To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the extent permitted by law, Zencraft Consultancy Pvt Ltd will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data.
Our total liability relating to ActionPlane will not exceed the amounts you paid for the service during the 12 months before the event giving rise to the claim, unless a signed agreement provides a different cap or applicable law requires otherwise.
10. Governing law and contact
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Courts at Mumbai, Maharashtra will have exclusive jurisdiction, except where mandatory law requires otherwise.
